Публічна оферта (Договір публічної оферти)
1. Загальні положення
Цей документ є офіційною публічною пропозицією (далі — «Оферта») компанії MAXILLA MEDICAL Sp. z o.o. (далі — «Виконавець») укласти договір про надання інформаційно-консультаційних (освітніх) послуг на викладених нижче умовах будь-якій дієздатній фізичній або юридичній особі (далі — «Замовник»).
Здійснення Замовником оплати послуг є повним і беззастережним прийняттям (акцептом) умов цієї Оферти та прирівнюється до укладення договору на відповідних умовах.
2. Предмет договору
Виконавець надає Замовнику доступ до участі в онлайн-вебінарі на тему «Остеопластичні матеріали: Алло vs. Ксено vs. Ауто» (далі — «Захід»), а Замовник зобов'язується оплатити такі послуги.
Дата, час, формат і програма Заходу зазначені на відповідній сторінці сайту Виконавця. Послуга вважається наданою належним чином у момент проведення Заходу та/або надання Замовнику доступу до трансляції чи запису.
3. Вартість послуг та порядок оплати
Вартість участі у Заході становить 1 500 грн (або еквівалент в іншій валюті за курсом на дату оплати). Оплата здійснюється онлайн банківською карткою через захищений платіжний сервіс Stripe.
Послуга надається після надходження повної оплати. Після оплати Замовник отримує підтвердження та посилання для участі у Заході на вказану ним електронну адресу.
4. Права та обов'язки сторін
Виконавець зобов'язується: надати доступ до Заходу у зазначені дату й час; забезпечити відповідність змісту заявленій програмі; надати запис Заходу зареєстрованим учасникам (якщо це передбачено умовами).
Замовник зобов'язується: надати достовірні контактні дані під час реєстрації; своєчасно оплатити послуги; не передавати доступ, матеріали чи запис третім особам.
5. Повернення коштів
Замовник має право відмовитися від участі та отримати повернення коштів за умови подання відповідного запиту на електронну адресу Виконавця не пізніше ніж за 14 (чотирнадцять) календарних днів до дати проведення Заходу.
У разі відмови менш ніж за 14 календарних днів до Заходу, а також після його проведення, кошти поверненню не підлягають. Оформлюючи замовлення в межах зазначеного строку, Замовник надає згоду на початок надання послуги та підтверджує ознайомлення з умовами повернення.
6. Інтелектуальна власність
Усі матеріали Заходу (відео, презентації, тексти, методики) є об'єктами інтелектуальної власності Виконавця та/або спікера. Забороняється запис, копіювання, відтворення, поширення чи публічна демонстрація матеріалів без письмового дозволу Виконавця.
7. Відповідальність сторін
Виконавець не несе відповідальності за неможливість участі Замовника із причин, що не залежать від Виконавця (відсутність інтернету, несправність обладнання Замовника тощо). Інформація, надана під час Заходу, має освітній характер і не замінює професійного клінічного судження лікаря.
8. Персональні дані
Оформлюючи замовлення, Замовник надає згоду на обробку своїх персональних даних відповідно до чинного законодавства та Політики конфіденційності Виконавця, що розміщена на сайті.
9. Форс-мажор
Сторони звільняються від відповідальності за невиконання зобов'язань, якщо воно спричинене обставинами непереборної сили. У разі неможливості проведення Заходу з таких причин Виконавець зобов'язується перенести Захід або повернути кошти.
10. Прикінцеві положення
Цей договір регулюється законодавством Республіки Польща. Виконавець має право змінювати умови Оферти, публікуючи нову редакцію на сайті. Усі спори вирішуються шляхом переговорів, а в разі недосягнення згоди — у порядку, передбаченому чинним законодавством.

Public Offer (Public Offer Agreement)
1. General provisions
This document constitutes an official public offer (the «Offer») by MAXILLA MEDICAL Sp. z o.o. (the «Provider») to enter into an agreement for the provision of informational and consulting (educational) services on the terms set out below, addressed to any legally capable individual or legal entity (the «Customer»).
The Customer's payment for the services constitutes full and unconditional acceptance of the terms of this Offer and is equivalent to entering into an agreement on the respective terms.
2. Subject of the agreement
The Provider grants the Customer access to participation in an online webinar titled «Osteoplastic materials: Allo vs. Xeno vs. Auto» (the «Event»), and the Customer undertakes to pay for such services.
The date, time, format and programme of the Event are specified on the relevant page of the Provider's website. The service is deemed duly rendered at the moment the Event takes place and/or access to the broadcast or recording is provided to the Customer.
3. Price and payment
The participation fee is UAH 1,500 (or the equivalent in another currency at the exchange rate on the payment date). Payment is made online by bank card via the secure payment service Stripe.
The service is provided upon receipt of full payment. After payment, the Customer receives confirmation and a participation link to the email address provided.
4. Rights and obligations of the parties
The Provider undertakes to: grant access to the Event at the specified date and time; ensure the content corresponds to the announced programme; provide a recording of the Event to registered participants (where this is included in the terms).
The Customer undertakes to: provide accurate contact details upon registration; pay for the services in a timely manner; not transfer access, materials or the recording to third parties.
5. Refunds
The Customer is entitled to cancel participation and receive a refund provided that the relevant request is sent to the Provider's email no later than 14 (fourteen) calendar days before the date of the Event.
If cancellation occurs less than 14 calendar days before the Event, or after the Event has taken place, the fee is non-refundable. By placing an order within this period, the Customer consents to the commencement of the service and confirms acceptance of the refund terms.
6. Intellectual property
All Event materials (video, presentations, texts, methodologies) are the intellectual property of the Provider and/or the speaker. Recording, copying, reproduction, distribution or public display of the materials without the Provider's written permission is prohibited.
7. Liability of the parties
The Provider is not liable for the Customer's inability to participate due to reasons beyond the Provider's control (lack of internet access, Customer's equipment failure, etc.). Information provided during the Event is educational in nature and does not replace the professional clinical judgement of a physician.
8. Personal data
By placing an order, the Customer consents to the processing of their personal data in accordance with applicable law and the Provider's Privacy Policy published on the website.
9. Force majeure
The parties are released from liability for failure to perform obligations if caused by force majeure circumstances. If the Event cannot be held for such reasons, the Provider undertakes to reschedule the Event or refund the fee.
10. Final provisions
This agreement is governed by the laws of the Republic of Poland. The Provider reserves the right to amend the terms of the Offer by publishing a new version on the website. All disputes are resolved through negotiations, and failing agreement — in accordance with applicable law.
